These Terms of Service ("Terms") govern your access to and use of the websites, software products, and services (collectively, the "Services") provided by Goodwill of Work Company Limited ("Goodwill of Work", "we", "us", or "our"), a company registered in Thailand. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. Acceptance of Terms
By accessing or using any Goodwill of Work Service — including ONE-PMIS, Autodocs, the Defect Inspection System, and HOOK Architects ERP — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at goodwill.work/privacy).
If you are accepting these Terms on behalf of an organisation or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall mean that entity.
We may update these Terms from time to time in accordance with Section 10. Your continued use of the Services after any update constitutes acceptance of the revised Terms.
2. Service Description
Goodwill of Work provides cloud-based construction project management and BIM software products to business clients primarily in Thailand. Our current product portfolio includes:
ONE-PMIS — a cloud Construction Project Management Information System providing WBS, Gantt scheduling, Earned Value Management (EVM), Document Control, and real-time dashboards.
Autodocs — a construction document automation platform supporting ISO 19650 BIM Common Data Environment, Submittal & Transmittal workflows, and automated document rendering.
Defect Inspection System — a mobile-first platform for construction defect logging, tracking, and closure.
HOOK Architects ERP — an enterprise resource planning system for architecture and BIM firms, including timesheet management, project cost tracking, and resource allocation.
Certain ERP applications, including ONE-PMIS and HOOK Architects ERP, offer optional Google Calendar integration for appointment scheduling (see Section 5).
The specific features, pricing, and service levels applicable to your use of any product are set out in the relevant Service Agreement between you and Goodwill of Work. These Terms apply in addition to, and are incorporated into, any such Service Agreement.
3. User Accounts & Responsibilities
To access most Services, you must create a user account or be provisioned an account by your organisation's administrator. You agree to:
Provide accurate, current, and complete registration information and keep it updated;
Maintain the confidentiality of your login credentials and not share them with any third party;
Notify us immediately at support@goodwill.work if you suspect any unauthorised access to your account;
Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that are associated with a breach of these Terms, fraudulent activity, or prolonged inactivity, subject to any notice obligations in the applicable Service Agreement.
4. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:
Use the Services for any purpose that is unlawful, fraudulent, or harmful, or in connection with any unlawful, fraudulent, or harmful purpose or activity;
Attempt to gain unauthorised access to any part of the Services or any system or network connected to the Services;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software underlying the Services, except to the extent expressly permitted by applicable law;
Transmit, upload, or store any data that contains viruses, malware, or any other malicious or destructive code;
Use the Services to send unsolicited communications (spam) or to harvest or collect email addresses or other personal data;
Scrape, crawl, or otherwise systematically extract data from the Services without our prior written consent;
Use the Services in any manner that could damage, disable, overburden, or impair them.
We reserve the right to investigate and take appropriate action against any violation of this section, including suspending or terminating access.
5. Google Calendar Integration
Certain Goodwill of Work ERP applications — including ONE-PMIS, HOOK Architects ERP, and the Defect Inspection System — offer an optional Google Calendar integration that allows users to create, update, and delete appointment events on their primary Google Calendar when they take direct actions within our applications. Supported use cases include site visits, client meetings, project deadlines, job interviews, and contractor coordination. This integration uses the Google Calendar API with OAuth scope calendar.events (read and write access to events our applications create).
When you connect your Google Account to a Goodwill of Work application, you authorise Goodwill of Work to access your primary Google Calendar solely for the purpose of creating, updating, and deleting appointment events triggered by your actions within the product. We will not use this access for any purpose other than providing this feature to you.
We only access events our applications created, identified by event IDs stored in our database. We never read, store, or analyse other calendar events on your calendar. All Google Calendar API calls are triggered exclusively by direct user actions within our applications.
Goodwill of Work's use of information received from Google APIs, including the calendar.events scope, adheres to the Google API Services User Data Policy, including the Limited Use requirements. In summary: (a) we use Google API data only to provide the in-product calendar feature, not for advertising or any other secondary purpose; (b) we do not allow humans to read your calendar data except where you have given explicit consent, for security purposes, to comply with applicable law, or where the data is aggregated and anonymised; (c) we do not transfer or sell your Google API data to third parties except as necessary to provide the service, to comply with applicable law, or as part of a merger or acquisition with prior notice to you.
OAuth tokens are encrypted at rest and transmitted via HTTPS (TLS).
You may revoke Goodwill of Work's access to your Google Account at any time by visiting https://myaccount.google.com/permissions and removing the relevant application authorisation. Revoking access will disable the Google Calendar integration but will not affect other features of the product.

6. Intellectual Property
All software, code, designs, documentation, and other materials comprising the Services are the intellectual property of Goodwill of Work or its licensors and are protected by applicable copyright, trade mark, and other intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely as permitted by these Terms and any applicable Service Agreement. This licence does not include any right to sublicense, resell, or commercially exploit the Services.
You retain all ownership rights in any data, documents, or content that you upload to the Services ("Your Content"). By uploading Your Content, you grant Goodwill of Work a limited licence to store, process, and display it solely for the purpose of providing the Services to you.
Goodwill of Work does not claim ownership of Your Content and will not use it for any purpose beyond operating and improving the Services as described in our Privacy Policy.
7. Fees & Payment
Access to the Services is subject to fees as set out in the applicable Service Agreement between you and Goodwill of Work. Each Service Agreement will specify the subscription fee, billing cycle, payment terms, and any applicable taxes.
Unless otherwise stated in your Service Agreement, fees are non-refundable once paid. We reserve the right to suspend access to the Services if fees are not paid by the due date specified in your Service Agreement, subject to any cure period set out therein.
We may update our pricing from time to time. Any price changes will be communicated to you in accordance with the notice provisions of your Service Agreement.
8. Disclaimers & Limitation of Liability
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. GOODWILL OF WORK DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOODWILL OF WORK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
IN NO EVENT SHALL GOODWILL OF WORK'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL FEES PAID BY YOU TO GOODWILL OF WORK IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in these Terms shall limit or exclude liability that cannot be limited or excluded under applicable Thai law. Goodwill of Work's Services are provided to business clients (juristic persons and business operators) and are not directed to consumers.
Legal review note: The disclaimers and limitations above use standard B2B SaaS language. Thai lawyers should review these provisions against the Civil and Commercial Code of Thailand and any applicable sector-specific regulations before reliance in litigation.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand, without regard to its conflict of law provisions.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice, either party may submit the dispute to the competent courts of Bangkok, Thailand, which shall have exclusive jurisdiction.
Nothing in this section prevents either party from seeking urgent or interim injunctive relief from any court of competent jurisdiction to prevent irreparable harm pending resolution of the dispute.
10. Changes to These Terms
We may revise these Terms from time to time to reflect changes in our Services, applicable law, or business practices. When we make material changes, we will notify you by email to the address registered with your account and/or by posting a prominent notice within the applicable Service.
The updated Terms will become effective on the date specified in the notice, which will be no less than fourteen (14) days after notification for existing users, unless a shorter period is required by applicable law or to address urgent security concerns.
Your continued use of the Services after the effective date of any revision constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services before the effective date of the revision.
